How is the carry split between Aussie Angels and me as the syndicate lead?As the lead, you can elect to take up to 15% carry on a deal. If you choose to take 15% this means that investors will pay 20% carry, of which 5% goes to Aussie Angels, and 15% to you as the lead. Aussie Angels always takes 5%, but you can choose to take less on a deal by deal basis

What entity structure do you use?The investment structure is a multi-class Australian wholesale unit trust. This is the best structure for this kind of investment, as it provides the most protections.
Does it allow ESIC benefits to flow through?Yes (where ESIC is applicable).
Will you collect the money from investors and distribute it to the startup?
Yes we will take care of collecting the money from each investor and distributing it to the startup.
Who handles the tax reporting each year?
We’ll send you a statement at the end of each financial year setting out your taxable components (if any).
If the company goes under and there are no assets to liquidate, will you still charge investors the annual management fee?
No. The first three (3) years are due upfront but no further annual management fees will be charged if the SPV does not realise any gains.
Do I need to have an AFSL to promote the deal to my investor network?
No you do not! We are using our AFSL in order to do this.
What about compliance?We take care of all the compliance and regulation requirements!
Am I liable for anything other than my initial contribution?
No. Your liability is limited to your investment amount.
Will you onboard my investors including checking their wholesale status, doing KYC, and verifying their investment entities?
Yes. We've got your back. We'll take care of everything boring and admin-y for you.
As the syndicate lead am I required to invest in the deal? Is there a minimum?
Yes. If you are leading a deal on the platform, you must also be investing in that round through the SPV on Aussie Angels. The minimum amount is $5k, however this may be waived if you already have equity in the company.
How are the fees split between investors in the deal?
The establishment fee and the management fees are charged proportionally to each investor based on their investment amount in the deal.
Are the fees taken out of the investment amount or in addition?
The fees are taken out of the investment amount.
Can I pay the setup fees myself, rather than charging each investor?
Is there a minimum amount that is required to be invested through the SPV in order to use Aussie Angels?

As long as you have less than 20 investors in your deal then we'll be able to switch you to our private syndicate pricing and accomodate your deal with a flat fee.
